These Terms of Use (“Terms of Use”) govern your use of ChampionForce.com (“the “Website”) and constitute a limited license (as further described below) to use the Website, subject to these Terms of Use. Champion Force Athletics, Inc., a Michigan corporation (“Champion Force”), grants you a limited, nonexclusive, nontransferable, revocable license to use the Website and its service subject to the restrictions set forth in these Terms of Use.

By using the Website, you represent and warrant that you are of legal age to form a binding contract with Champion Force and meet all of the eligibility requirements for doing so in the state in which you reside. You may use the Website only for lawful purposes and in accordance with these Terms of Use. Without limitation, you agree not to use the Website:

• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website.
• Terminate or suspend your access to all or part of the Website for any or no reason, including without limitation, any violation of these Terms of Use, or local, state, or federal law or regulation.

Without limiting the foregoing, Champion Force has the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website. YOU WAIVE AND HOLD HARMLESS CHAMPION FORCE AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY ADMINISTRATOR OF THE WEBSITE DURING OR AS A RESULT OF SUCH AN INVESTIGATION AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER CHAMPION FORCE OR LAW ENFORCEMENT AUTHORITIES.

Champion Force does not undertake to review all material before it is posted on the Website, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, Champion Force assumes no liability for any action or inaction regarding transmissions, communications, or content placed on the Website by any user or third party and shall have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

These content standards apply to any and all contributions to the Website made by any user (each, a “User Contribution”) and use of any interactive services on the Website. THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability.

Indemnification.

You agree to defend, indemnify, and hold harmless Champion Force, its affiliates, licensors, and service providers, and its and their respective shareholders, officers, directors, members, managers, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your User Contributions, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website, or the violation of these Terms of Service by a third party to whom you granted your access to the Website.

Third Party Access.

If you grant any third party access to your data, such third party shall be deemed to have read, understood, and agreed with these Terms of Use. Under no circumstances shall Champion Force be liable for any action taken by such a third party.

Miscellaneous

No waiver of any breach of any provision of these Terms of Use will be deemed a waiver of any preceding or succeeding breach or of any other provision of these Terms of Use. No extension of time for performance of any obligations or acts will be deemed an extension of the time for performance of any other obligations or acts.

In the event that any one or more of the provisions contained herein shall, for any reason, be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provisions of these Terms of Use, but these Terms of Use shall be construed as if such invalid, illegal, or unenforceable provisions had never been contained herein, unless the deletion of such provision or provisions would result in such a material change so as to cause completion of the transactions contemplated herein to be unreasonable.

These Terms of Use are governed by the laws of the State of Michigan and any disputes arising out of these Terms of Use shall be litigated in a court of competent jurisdiction sitting in Kent County, Michigan, which shall apply the laws of the State of Michigan without giving effect to any choice or conflict of law provision or rules.

The Website is controlled by facilities in the United States of America. Champion Force makes no representations that the Website is appropriate or available for use in other locations. If you access the Website from any location outside the United States of America, you do so at your own risk and you are solely responsible for your compliance with all local laws and regulations.

These Terms of Use are the entire and exclusive agreement between Champion Force and you regarding the Website, and these Terms of Use supersede and replace any prior agreements between Champion Force and you regarding the Website.
